Subscription Terms & Conditions

Throughout these Terms & Conditions, 'Tenders Direct' and 'we/us/our' means Millstream Associates Limited.

These Terms & Conditions cover the entire agreement between us.

Starting your contract

When we receive your subscription:

  • We will provide the service as described in the "How it Works" section.
  • You agree to be liable for and to pay all charges arising out of using our service.

Our charges

  • We express our rates exclusive of any taxes that are or may become applicable (such as VAT).
  • We issue invoices annually, and require payment within 30 days.
  • You must pay in pounds sterling.
  • If the amount or structure of our charges change, we promise to give you 30 days written notice.

Using the service

We provide our service to you solely for your own use. You are not entitled to assign the benefit of this contract, or pass on any information supplied, to a third party without our prior written consent. All copyright in any information provided through our service remains vested in the owners of the material.

If anything changes

We'll write and tell you, so you always have an up-to-date contract. We’ll confirm in writing any conversations, to make changes official.

Renewing your contract

Subject to the rights of termination (see below), your contract will continue on an annual basis unless you (or we) terminate it within 30 days of the invoice date. If you don’t request termination within that period, you will be deemed to have accepted renewal, and must pay the full annual subscription detailed on the invoice.
We do not issue refunds or credit notes for early cancellation.

Cancelling your contract

If either you or we do not perform the obligations of this contract, the other party can terminate it without any legal formality.

  • First, one party must request in writing that the other performs its obligations.
  • If, after seven days, this request not been met, the contract is deemed cancelled.

The law specified below (see Legal Basis) governs the consequences of such termination.

Disclaimer

The information provided under this contract is accurate to our best knowledge and belief. This does not warrant, expressly or implied, such accuracy nor the suitability of any information or services for any particular use or application. Nor can we be held liable for any consequential direct or indirect damages resulting for you from any such use or application.

Neither you or we shall be liable to the other for any breach of this contract due (directly or indirectly) to:

  • The failure of any machine, data processing system or transmission link.
  • Industrial dispute.
  • Anything beyond our (or your) reasonable control.
  • The acts or omission of any party for whom we (or you) are not responsible.

Legal basis

This agreement is governed by and construed in accordance with Scottish Law. You hereby agree to submit to the exclusive jurisdiction of the Scottish Courts.
